Terms and Conditions

2. Nature of the Service

GuacamaIA is a software-as-a-service (SaaS) platform that transforms meetings into structured summaries, decisions, commitments, assignees, due dates and execution metrics.

The Service is currently in its V1 version, in an initial public deployment phase. This means:

• Features may change, be activated or deactivated temporarily.
• Service limits may be adjusted as part of our continuous improvement process.
• Uninterrupted availability of the Service is not guaranteed.
• There is no enterprise Service Level Agreement (SLA).
• There are no formal compliance certifications (ISO, SOC2 or others).

3. Acceptance of Terms

By registering, accessing or using the Platform, the user represents that they have read, understood and fully accepted these Terms and Conditions, as well as the Privacy Policy.

If the user disagrees with any provision of these Terms, they must refrain from using the Service.

4. Registration and User Account

To access the Service, the user must create an account by providing truthful and up-to-date information. The user is responsible for:

• Maintaining the confidentiality of their login credentials.
• All activities conducted under their account.
• Immediately notifying any unauthorized use of their account.

Datascination reserves the right to suspend or cancel accounts that violate these Terms or exhibit suspicious activity.

5. Subscription, Billing and Cancellation

GuacamaIA offers the following subscription plans:

Applicable conditions:

• Automatic renewal. The subscription renews automatically at the end of each period (monthly or annual), unless the user cancels before the renewal date.
• Free cancellation. The user may cancel their subscription at any time, without penalty or additional charges.
• No minimum commitment. No minimum subscription period is required.
• No prorated refunds. Once a billing period begins, no partial refunds will be issued for remaining time.
• Access until end of period. After cancellation, the user retains access to their plan's features until the expiration of the already-billed period.

7. Human-in-the-Loop System

GuacamaIA is an AI-powered assistance system. The user acknowledges and agrees that:

• The Platform does not execute actions automatically without the user's explicit confirmation.
• The system generates drafts, suggestions and detects intent, but final control and responsibility for all actions rest solely with the user.
• No email, calendar event, reminder or communication is sent without the user's prior approval.
• Business, legal or any other decisions made by the user based on information provided by the Platform are the user's sole responsibility.

8. Third-Party Recording Consent

When the Service involves the capture, recording or processing of meeting audio, it is the user's sole responsibility to obtain informed, prior and express consent from all participants before initiating any audio capture or processing.

GuacamaIA provides the technological tool; the user is legally responsible for compliance with privacy laws, data protection regulations and recording consent requirements applicable in their jurisdiction.

Datascination shall not be liable for the user's failure to obtain such consents.

9. Intellectual Property

All intellectual property rights to the Platform, including software, design, trademarks, logos, trade names and original content, belong to Datascination Tech S.A.S. or its licensors.

Content generated by the user within the Platform (meeting summaries, decisions, commitments) remains the user's property. Datascination does not acquire ownership rights over such content.

10. Acceptable Use

The user agrees not to use the Service for:

• Illegal, fraudulent activities or activities that violate third-party rights.
• Transmitting content that infringes intellectual property rights.
• Reverse engineering, decompiling or disassembling the Platform's software.
• Attempting to access systems, networks or data without authorization.
• Registering fake, duplicate accounts or using fictitious information.

11. Limitation of Liability

Given the nature of artificial intelligence and natural language processing models, the user acknowledges and agrees that:

• GuacamaIA does not guarantee absolute accuracy of transcriptions, summaries, decision detection or assignee identification.
• The Service is provided "as is" and "as available", without express or implied warranties of fitness for a particular purpose.
• Datascination shall not be liable for interpretation errors, omissions, data loss or failure to execute tasks arising from the use of the tool.
• Datascination shall not be liable for business, legal, financial or any other decisions made by the user based on information generated by the Platform.
• In no event shall Datascination's total liability to the user exceed the amount actually paid by the user during the last three (3) months of subscription.

12. Modification of Terms

Datascination reserves the right to modify these Terms and Conditions at any time. Modifications will be notified to the user via the registered email address, at least fifteen (15) days before taking effect.

Continued use of the Service after the modifications take effect shall constitute acceptance of the new Terms.

13. Termination

The user may terminate their relationship with the Platform at any time by canceling their subscription and requesting account deletion.

Datascination may suspend or terminate the user's access if they breach these Terms, without prejudice to any applicable legal action.

14. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Colombia, including but not limited to:

• Law 1581 of 2012 (Personal Data Protection).
• Decree 1377 of 2013 (regulatory of Law 1581).
• Law 1480 of 2011 (Consumer Protection Statute), where applicable.
• Law 527 of 1999 (Electronic Commerce).

For the resolution of any dispute arising from these Terms, the parties submit to the jurisdiction of the competent courts and tribunals of Bogotá, D.C., Colombia.
